OR DOCUMENTATION, AND ANY AND ALL COPIES OF SUCH SOFTWARE AND ITS MATERIAL S. BY

OPE NING T HE SOF T WAR E, IN STA LL ING, A ND/O R USING T HE SO FT WA RE AND A NY O THE R MAT ERI AL S

INCLUDED WITH THE SOFTWARE , YOU HEREBY ACCEPT THE TERMS OF THIS AGREEMENT WITH

TAK E-TW O INT ERA CT IVE SO FT WARE , INC . (“LIC ENSO R”).

I. L ICEN SE. L ICE NSE . Subje ct to t his A greem ent an d its t erm s and con diti ons, L icen sor her eby

grants you the nonexclusive, non-transferable, limited right and license to use one copy

of the Sof tware for your personal non-commercial use for gameplay on a single computer

or gaming unit, unless otherwise specified in the Software documentation. Your acquired

rights are subject to your compliance with this Agreement. The term of your license under

this Agreement shall commence on the date tha t you install or other wise use the Soft ware

and e nds on t he ear lier da te of e ith er your d ispo sal of t he So ft war e or Lic enso r’s te rmin atio n

of this Agreement. Your license terminates immediately if you attempt to circumvent any

tec hnica l prot ect ion mea sure s used in c onnec tio n wit h the So ft ware . The S oft ware i s being

licensed to you and you hereby acknowledge that no title or ownership in the Sof tware is

being tran sferr ed or assigned and this Agreement should not be cons trued as a sale of any

rig hts i n the So ft ware . All rig hts n ot spe cifi cally g rant ed unde r this A gree ment ar e rese rve d

by Licenso r and, as applicable, it s licensors. OWNERSHIP. Licensor retains all right, title and

int er es t to t he S of t wa re , incl udi ng , bu t not l imi ted t o, a ll cop yr ig ht s , tr ade mar k s, t ra de se cr et s ,

tr ade n ame s, p ro pri et ar y ri gh ts , pa te nt s, t it le s, co mp ut er co des , aud iov is ual ef f ec t s, t hem es ,

cha rac t ers , ch ara ct er n ame s, s to rie s, di alo g, s et ti ngs , ar t wo rk , so und e f fec t s, m usic al wo rk s ,

and moral rights. The Soft ware is protected by United States copyright and trademark law

and applicable laws and treaties throughout the world. T he Software may not be copied,

rep rod uced or d ist ribu ted i n any ma nner o r mediu m, in w hole or i n par t, w ith out pr ior w rit ten

con sent f rom L icens or. Any p erso ns cop ying , repr oduci ng or dis tr ibut ing all or a ny por tio n of

th e Sof twa re in an y manne r or medi um, wi ll be will full y viola ting t he cop yrig ht law s and ma y

be su bjec t to civ il and cr imina l penal ties i n the U. S. or t heir lo cal cou ntr y. Be ad vise d that U .S.

rig hts in t he eve nt of an y violat ion of t his Agr eemen t. Al l righ ts not e xpre ssly g rant ed to you

her ein are re serv ed by the Licensor. LICENSE CONDITIONS. You agree not to: (a) Comm erciall y

exploit t he Sof twar e; (b) Dist ribut e, leas e, license, sell , rent or otherwis e transfer or a ssign

the Software, or any copies of the Software, without the express prior written consent of

Lic enso r or as se t for th in t his Ag reem ent ; (c) Make a co py of t he So ft ware o r any pa rt th ereo f

(oth er t han a s se t for t h her ein) ; (d) Mak e a cop y of t his S of tw are a vai labl e on a ne tw or k for u se

or do wnlo ad by m ult iple u ser s; (e) Ex cept a s ot her wis e spe cif icall y pro vid ed by t he So ft war e

or this Agreement, use or install the Software (or permit others to do same) on a network,

for online use, or on more than one computer or gaming unit at the same time; (f) Copy the

Software onto a hard drive or other storage device in order to bypass the requirement to

run t he Sof twar e from the inclu ded CD-ROM or DV D-ROM (t his prohibition does not apply to

copi es in wh ole or i n par t tha t may be m ade by t he So ft ware i ts elf dur ing in sta llat ion in or der

to r un mo re ef f icie nt ly); (g ) use o r cop y th e Sof t wa re at a c omp ut er gam ing ce nt er or a ny ot he r

loc ati on- ba sed si te ; pro vi ded , th at Li cen sor m ay of fe r you a s epa rat e si te lic ens e agr eem ent

to make the Soft ware available for commercial use; (h) Reverse engineer, decompile,

dis ass embl e, pr epa re de riv at ive w ork s ba sed o n or ot her wi se mo dif y t he So ft wa re, i n who le

or in p ar t; (i) R emo ve or m odi fy a ny pr opr ie tar y n ot ices , mar k s or la bels c ont ain ed on o r wi thi n

the Software; and (j) transpor t, export or re-export (directly or indirectly) into any country

for bidden t o recei ve such Soft ware by a ny U.S. expo rt laws or accom panying regulatio ns or

ot her w ise v iola te s uch l aws o r reg ula tio ns , tha t ma y be am end ed fr om t ime t o tim e. Ho we ver,

you may transfer t he entire Sof tware and accompanying documentation on a permanent

bas is to ano the r pers on as lon g as you r eta in no copi es (incl uding a rchiv al or ba ckup co pies)

of the Software, accompanying documentation, or any portion or component of the Sof tware

acco mpan ying d ocum ent ati on, an d the r ecipi ent ag ree s to th e term s of th is Agr eeme nt . The

So ft war e is int end ed for p riv ate u se onl y. TECHNICAL PROTEC TIONS. The S of twa re may i nclu de

measures to control access to the Sof tware, prevent unauthorized copies, or otherwise

attempt to prevent anyone from exceeding the limited rights and licenses granted under

thi s Agree ment . If the S oft ware p ermit s acces s to addi tiona l online fe atur es, onl y one cop y

of the Software may access those features at one time (unless otherwise provided in the

Software documentation). Additional terms and regist ration may be required to access

onli ne ser vices an d to dow nload S oft ware up dates a nd pat ches. O nly So ftw are subj ect to a

vali d licens e can be u sed to a ccess o nline s erv ices, a nd dow nload u pdat es and p atch es. You

may not interfere with such access control measures or attempt to disable or circumvent

such security features. If you disable or otherwise tamper with the technical protection

measures, the Software will not function properly. USER-CREATED CONTENT. The Sof tware

may allow you to create content , including but not limited to a gameplay map, a scenario,

scr eenshot of a car design o r a video of your gameplay. I n exchan ge for us e of the S oft ware,

and t o th e ex t ent t ha t you r con t rib ut ion s th ro ugh u se of t he S of t wa re gi ve r ise t o an y cop yr igh t

interest, you hereby grant Licensor an exclusive, perpetual, irrevocable, fully transferable

and s ub-lic ensab le wor ldwid e righ t and lice nse to u se your c ontr ibut ions in a ny way an d for

any p urpos e in conne ctio n with t he Sof twa re and rel ated go ods and s ervi ces, includin g the

rights to reproduce, copy, adapt, modify, perform, display, publish, broadcas t, transmit, or

otherwise communicate to the public by any means whether now known or unknown and

dis trib ute yo ur cont ribu tions w ith out any f urt her no tice or co mpens atio n to you o f any kin d

for t he w hol e dur at ion o f pr ot ec tio n gr ant ed t o int ell ec tua l pro pe rt y r igh ts b y ap plic abl e law s

and i nter natio nal conv enti ons. You h ereb y waive an y moral r ight s of pa terni ty, pub licat ion,

rep uta tio n, or at tr ibut ion w ith r espe ct to L icen sor ’s and o ther p layer s’ us e and enj oyme nt of

suc h ass et s in c onn ec tio n wi th t he S of t war e and r ela te d goo ds an d se rv ice s und er ap plic abl e

law. T his l icen se g ran t to L ic ens or, an d th e abo ve wa ive r of a ny ap plic abl e mor al ri gh ts , su rv iv e

any t ermi nat ion of t his L icens e. INT ERNET CONNEC TION. T he So ft war e may re quir e an int ern et

connection to access internet-based features, authenticate the Software, or perform

other functions. In order for certain features of the Software to operate properly, you may

be re quire d to have an d maint ain (a) an ade quate i nter net con nect ion and /or (b) a valid an d

ac tive a ccoun t with a n online s erv ice as se t for th in th e Sof twa re doc ument atio n, incl uding

but not limited to W indows Live, Licensor or a Licensor aff iliate. If you do not maintain such

accounts, then certain features of the Software may not operate or may cease to function

pro perl y, eith er in who le or in pa rt .

II. INFORM ATION COLLECTION & USAGE. By installing and using this software, you consent

to these information collection and usage terms, including (where applicable) transfer of

dat a to Lic ensor an d aff iliated companies into a coun try o utside of th e Europ ean Unio n and

th e Europ ean Eco nomic A rea. If y ou conn ect to t he Int erne t when usi ng the S oft ware, eithe r

through Xbox LIVE, or any other method, Licensor may receive information from hardware

man ufac ture rs or pla tfo rm hos ts (su ch as Mic roso ft) a nd may au toma tical ly colle ct cer tai n

information from your computer or gaming unit. This information may include, but is not

limi te d to, u ser I Ds (su ch as g ame r ta gs an d scr een n ame s), ga me sc ore s, g ame ac hie vem en ts ,

gam e perf orma nce, lo cati ons vis ited , budd ylist s, ha rdwa re MAC a ddre ss, in tern et pro toco l

address, and your usage of various game features. All information collected by Licensor is

intended to be anonymous information that does not disclose your identit y or constitute

personal information, however, if you include personal information (such as your real

name) in your user ID, then such personal information will automatically be transmitted to

Lic enso r and us ed as de scri bed he rein. T he in for mati on colle cte d by Li censo r may be p ost ed

by L icens or on pub licly- acces sible w eb site s, sha red wi th har dwar e manuf act urer s, shar ed

wit h platform hosts, shared wit h Licensor’s marketing partners or used by L icensor for any

ot her l aw ful p urp os e. B y usin g th is So ft w are y ou co nse nt t o th e Lic ens or ’s use o f rel at ed da ta ,

including public display of your data such as identification of your user-created content or

displayin g your sco res, r anking, achievements an d othe r gameplay data. If you d o not wan t

you r infor mat ion shar ed in th is mann er, then y ou shou ld not us e the S oft ware .

III. WARR ANT Y. LIMITED WARRANTY. Licensor warrants to you (if you are the initial and

original purchaser of the Sof twar e) t hat the origin al storage medium holding the Softwar e

is fr ee from defec ts in material and wo rkma nship un der nor mal use an d serv ice for 90 d ays

from the date of purchase. Licensor warrants to you that this Software is compatible with

a personal computer meeting the minimum system requirements listed in the Software

doc ument ati on or tha t it has b een cer tif ied by t he gami ng unit p roduc er as com patib le wit h

the gaming unit for which it has been published, however, due to variations in hardware,

sof tware, internet connections and individual usage, Licensor does not warrant the

per formance of this Software on your specific computer or gaming unit. Licensor does

not warrant against interference with your enjoyment of the Software; that the Software

will meet your requirements; t hat operation of the Sof tware will be uninterrupted or

err or-fre e, or tha t the So ftw are will be compatibl e with t hird pa rty s oft ware or h ardware or

th at an y er ror s in t he S of t war e will b e cor re ct ed . No or al or w ri t ten a dv ice p rov ide d by L ice nso r

or an y aut hor ize d repr ese nta tiv e shal l crea te a wa rra nt y. Bec ause s ome ju risd ict ion s do no t

allo w th e exc lus ion o f or lim it at ion s on im plie d war ra nt ies o r th e limi ta tio ns o n the a ppl ica ble

st atutory right s of a consumer, som e or all of th e above e xclusions and limitations may not

app ly to yo u. If fo r any re ason y ou fin d a defec t in th e sto rage m edium o r Sof twa re dur ing th e

warrant y period, Licensor agrees to replace, free of charge, any Software discovered to be

def ec ti ve w it hin t he wa rr an ty p er iod a s lon g as t he So f tw ar e is cu rr ent ly b ein g man ufa ct ur ed

by Licensor. If the S oftware is no longer available, Licensor retains the right to subs titute a

similar piece of Software of equal or greater value. This warrant y is limited to the storage

med ium and the Sof twar e as originall y provi ded by Li censor and is no t applic able to no rmal

wea r and tea r. This w arra nty s hall no t be appli cable a nd shall b e void if t he de fect h as ari sen

through abuse, mistreatment, or neglect . Any implied warranties prescribed by statute

are e xpres sly limited to the 90-day period described above. Except as set for th above, this

war ra nt y is in l ieu o f all o th er wa rr ant ie s, w het he r or al or w ri tt en , ex pr ess o r imp lied , in clud ing

any o th er war ran ty o f mer cha nta bili ty, f itn ess f or a pa rt icul ar pur pos e or no n-in fr inge men t,

and no other representations or warranties of any kind shall be binding on Licensor. When

returning the Soft ware subjec t to the limited warranty above, please send the original

Software only to the Licensor address specified below and include: your name and return

address; a photocopy of your dated sales receipt; and a brief note describing the defect

and t he sys tem on w hich you a re running th e Sof twar e. IN NO EV ENT W ILL LI CENS OR BE LI ABLE

FOR SPECIAL, INCIDENTAL OR CONSEQUEN TIAL DAMAGES RESULTING FROM POSSE SSION, USE OR

MA LF UNC TIO N OF THE S OF TWA RE , INCL UDING B UT NO T LIM IT ED TO, D AM AGE S TO P ROPE RT Y, LO SS

OF GOODWILL, COMPUTER FAILURE OR MALFUNCTION AND, TO THE E XTENT PERMITTED BY L AW,

DAMAGES FOR PERSONAL INJURIES, PROPERT Y DAMAGE, LOST PROFITS OR PUNITIVE DA MAGES

th e Sof t wa re an d all co pie s and r epr odu ct ion s of t he S of tw ar e and d ele tin g and p erm ane nt ly

pur ging th e Softwar e from an y client s erve r or computer on w hich it h as been insta lled. U.S.

GOVERNMENT RESTRICTED RIGHTS. The Software and documentation have been developed

entirely at private expense and are provided as “Commercial Computer Software” or

“restricted computer software.” Use, duplication or disclosure by the U.S. Government or a

U. S. Gov ernme nt sub cont ract or is sub ject t o the r estr ict ions se t for th in su bpara graph (c) (1)

(ii) of the Rights in Technical Date and Computer Software clauses in DFARS 252.227-7013 or

as se t fort h in subparagr aph (c)(1) and (2) o f the Commercial Computer Softwar e Rest ricted

Rights clauses a t FAR 52. 227-19, as applicable. T he Cont ractor/Manufac turer is the Licensor

available remedies. INDEMNITY. You ag re e to in dem nif y, d efe nd an d hol d Li cen sor, i t s par t ne rs ,

licensors, aff iliates, con trac tors , officers , direc tors , employ ees and agent s harmle ss from

all da mage s, los ses a nd ex pens es ar isin g dire ctl y or in dire ctl y fr om you r act s and o miss ions

to ac t in using the Sof tware pursuant to the terms of t he Agreement . MISCELLANEOUS. This

Agreement represents the complete agreement concerning this license between the

par ties and supersedes all prior agreement s and representations between them. It may

be am ended o nly by a w riti ng exec uted b y both p art ies. I f any pro visio n of thi s Agree ment is

held t o be une nfor ceable f or any r eason , such p rovis ion sha ll be ref orme d only to t he ex ten t

necessar y to mak e it enfo rceabl e and the r emainin g provi sions of t his Agr eement shall no t

be af fec te d. GOV ERNIN G LAW. T his Ag reem ent sh all be c ons tru ed (wi thou t reg ard t o con flic ts

or ch oice of law principles) un der the laws of t he Sta te of New Yo rk, as such law i s applied to

agr eeme nt s bet ween N ew Yor k resi dent s en ter ed int o and t o be per for med w ith in New Yo rk ,

except as governed by federal law. Unless expressly waived by Licensor in writing for the

par ticular instance or contrary to local law, the sole and exclusive jurisdiction and venue

for a cti ons re late d to th e subje ct ma tte r here of sha ll be th e sta te and f eder al cour t s loca ted

in Licensor’s principal corporate place of b usines s (New York C ounty, New York, U.S.A .). Bot h

par ties consent to the jurisdiction of such courts and agree that process may be ser ved in

the manner provi ded herein for gi ving of n otice s or otherwi se as allo wed by New York st ate

or federal law. The parties agree that the UN Convention on Contract s for the International

Sal e of Go ods ( Vien na, 19 80) shall n ot ap ply t o th is Agr eem ent o r to an y disp ut e or tr ans act ion
