SBA General Terms and Conditions 1. The Parties and the SBA 1.1 The Home Depot Supplier Buying Agreement ("SBA" or "Agreement") is an integrated agreement between Home Depot Product Authority, LLC and its affiliates ("HDPA") and Supplier consisting of these Terms and Conditions, the Supplier Reference Guide ("SRG") located at supplierhub.homedepot.com (which may be updated from time to time as needed by HDPA, with notice to Supplier), and the Summary of Business Terms. 1.

7 Insurance 7.1 Supplier shall maintain Commercial General Liability Insurance on an occurrence basis with limits of not less than the amounts specified on the Insurance Approval Request Form attached to this SBA. HDPA, its parent, affiliates and subsidiaries shall be named as an additional insured. Supplier's insurance must be the primary policy with respect to any loss.

accidental or unauthorized modification, disclosure, transfer or destruction. Anyone who has been convicted of any felony or misdemeanor offense related to computers, theft, or information security, will not be allowed to serve as a Supplier Guardian Point of Contact ("SGPOC"). The SGPOC will manage Supplier's access to the Systems by granting and removing individual user access, and working with HDPA to resolve any Systems-related issues that may arise. b.

compliance. Supplier hereby waives use of the Statute of Frauds as a defense to the SBA or any PO accepted pursuant to this SBA. 14.5 Severability. If any part or parts of this SBA are held to be invalid, the remaining parts of this SBA will continue to be valid and enforceable. 14.6 Survival.
