Supplier Buying Agreement (SBA)

ACCEPTED AND AGREED:

This Summary of Business Terms, as approved by Supplier and Home Depot Product Authority, LLC., its parent, affiliates and

subsidiaries ("HDPA") supplements and becomes a part of The Home Depot Supplier Buying Agreement (the "SBA") between HDPA and

Supplier. In the event of a conflict or inconsistency between this Summary of Business Terms and the remainder of the Supplier Buying

Agreement, the terms contained in this Summary of Business Terms will control. Supplier hereby acknowledges that the SBA consists

of the Terms and Conditions, the Supplier Reference Guide ("SRG") located under the "Supplier Reference Guide" Sub tab of the

"General" tab (which may be updated from time to time as needed by HDPA, with notice to Supplier) and this Summary of Terms.
