Warranty

14. RETURN POLICY. Buyer must obtain a Return Material Authorizaon (RMA) Number from Seller prior to ship-
ping any Product back to Seller. All Returns are to be sent prepaid by Buyer. At the discreon of the Seller, unused and
undamaged Standard Products may, under certain circumstances, be accepted back for credit or exchange. A restocking
charge of 25% may apply. Please consult with the Seller. Custom made products which are returned as defecve, but are
found to meet the specicaons agreed upon, will be subject to a re-tesng charge.
15. STAUTE OF LIMITATIONS. Any acon by Buyer against Seller arising out of or relang to this Agreement or the
alleged breach or non-performance by Seller of any provision hereof, regardless of the theory upon which such acon
is based, must be brought within eighteen (18) months from the date of delivery to Buyer of the Products, material, or
part thereof which gives rise to the acon.
16. DURATION OF QUOTATION. Any Quotaon submied by Seller to Buyer is valid for a period of 15 days from the
date the Quotaon is sent, and cannot be accepted by Buyer aer expiraon of that period. The terms of a Quotaon
are subject to change at any me by Seller without prior noce.
17. ARBITRATION. Either Seller or Buyer may elect, by wrien noce to the other party, to sele any claim or con-
troversy arising out of or relang to this Agreement or the breach or non-performance of any provision hereof, by
arbitraon in accordance with the Commercial Arbitraon Rules of the American Arbitraon Associaon in eect at the
me such claim or controversy arises. Buyer and Seller agree that any arbitraon shall be administered and conducted
in Orange County, California.
18. GOVERNING LAW. This Agreement shall be deemed to have been made in Orange County, California, and shall
be governed by, construed, and enforced in accordance with the internal, substanve laws of the State of California,
without giving eect to conicts of law principles. The Convenon for the Internaonal Sale of Goods shall not apply to
any case or controversy arising out of or related to this Agreement. Buyer hereby submits to the exclusive jurisdicon of
the courts of Orange County, California with respect to any claim or controversy arising out of or related to this Agree-
ment.
19. SEVERABILITY. In the event of any provision of this Agreement is held or determined by a court of competent
jurisdicon to be invalid or unenforceable, the remaining provisions of this Agreement shall remain in full force and
eect.
