macLEDS STANDARD TERMS AND CONDITIONS OF SALE

macLEDS documentation of sales terms shall govern all sales transactions. Customer’s

Purchase Order shall not be binding on macLEDS and acceptance of Customer’s

Purchase Order is expressly made conditional on Customer’s acceptance of macLEDS

Standard Terms and Conditions of Sale (“Standard Terms”) as set forth herein (or as

amended and published from time-to-time by macLEDS). macLEDS Standard Terms may

not be varied, except in writing signed by a macLEDS officer at macLEDS Headquarters.

These Standard Terms in conjunction with the applicable macLEDS invoice include all the

terms, warranties, and conditions pertaining to each transaction, and can in no way be

altered, modified or changed by Customer or by any macLEDS sales agent or sales

representative, verbally or otherwise.

1. PAYMENT TERMS

50% deposit upon order, net 30 days. 2% monthly service charge after 30 days.

2. PRICES, QUOTATIONS, TRADE DESCRIPTIONS, SPECIFICATIONS

Unless otherwise indicated, all prices and quotations shall be valid for a period of up to

90 days from the date of quotation and are subject to these Terms and Conditions.

macLEDS reserves the right to withdraw or change any quotation at any time for any

reason prior to macLEDS written acknowledgement of any purchase order. Possession of

the distributor net price list does not constitute in itself an offer to sell for a current

price. All macLEDS takes all reasonable precautions to ensure that the price quotations,

descriptions, illustrations, and technical data in macLEDS catalogs, distributor net price

lists, and any of its other publications are correct at the time of printing, but shall not be

responsible for any errors or omissions. All macLEDS information is intended as

guidance only and macLEDS reserves the right to change such information at any time.

macLEDS endeavors to correctly ship quantities ordered. It shall be the responsibility of

the buyer to verify quantities.

3. SHIPMENTS

Freight on individual shipments to a destination within the Continental USA shall be

prepaid by macLEDS and billed to buyer unless order is $5000 or more, in which case

freight will be paid by macLEDS. Freight on shipments made to a destination outside the

Continental USA including, but not limited to, Hawaii, Alaska, Puerto Rico, or any foreign

All shipments are FOB Pittsford, NY. In all events, macLEDS retains the right to select the carrier, method, and route of shipment for which it bears the cost.

10. GUARANTEE macLEDS products are guaranteed against mechanical, electrical and physical defects for a time period of three (3) years from the date of shipment to the customer. macLEDS assumes no responsibility for the improper selection or installation of its products, or for field modifications of any kind made to its products.
