TERMS AND CONDITIONS OF SALE
1. PAYMENT TERMS
Agencies that are Municipally funded may be given 30 day terms, all
additional charge requests must be pre-approved.
Agencies must fax the rst order on an agency purchase order or
letterhead.

. Method: You can choose from C.O.D. (Certied Check or Money
Order) or use Visa or MasterCard.
Adamson Industries reserves the right to change payment terms at
any time.

Payment: All payments are payable in U.S. funds. Where applicable,
custom charges will be applied.
C.
Sales Tax: Agencies will be exempt; all others, sales tax will be
added to your invoice unless an acceptable Resale Exempt number
is provided.
D.
Shipping: Every effort is made to ship your product within 24 hours
from when we receive your order. Shipment should arrive within
10 business days. All shipping charges are based on the dollar
amount of your order, unless otherwise stated. Please provide a
street address.
Next Day or 2nd Day Air may be provided for an additional charge.
2.
PRICES: Our prices are FOB shipping point, with charges added to the
invoice for shipping and handling. Because of the breed and depth of
our product line, prices are subject to change without notice.
3.
OFFER TO SELL: Possession of our catalog and yer does not necessarily
constitute an offer to sell; we sell only to Law Enforcement Agencies and
authorized radio and light bar dealers. We reserve the right to refuse to
sell or ship merchandise to anyone.
4.
TEN DAY MONEY BACK GUARANTEE: If you are not satisfied for
any reason, return your purchase in original condition and original
packaging to Adamson Industries for a refund or credit. Under this 10-
day Guarantee, the return must arrive at Adamson Industries within 10
working days after your receipt of the merchandise.
Please
call 978-681-0370 to receive a RMA#. Return the merchandise
freight prepaid, naturally this guarantee does not apply to any special
orders.
5.
RETURNS: Even after the 10-Day Guarantee period has expired, you can
return goods to Adamson Industries within 30 days after initial receipt,
subject to a 25% restocking fee. Return merchandise will be accepted
with a RMA#. (Call 978-681-0370 for RMA#.) Freight must be prepaid. No
returns will be accepted after the 30-day period has expired. No returns
on Prisoner Partitions, K-9 Interiors, Prisoner Seats and Truck Vault
Storage Systems.

. WARRANTY: Merchandise not covered under sections 4 & 5 above will
be entitled to the benet of any manufacturer’s warranty, and we will
assist you in the process. Adamson Industries make no expressed or
implied warranties including the implied warranties of merchantability
of tness for a particular purpose with respect to any goods and/or
services sold to you.

. LOST SHIPMENTS: As soon as you realize the shipment may have
been lost, call Adamson Industries at once so we can begin the tracing
process.
8.
DAMAGES IN SHIPMENT: All goods are shipped F0B shipping point.
Adamson Industries is not responsible for merchandise damaged in
shipment. If shipping damage occurs, please take the following action.
(1) Do not accept a visually damaged product until the person making
the delivery has endorsed the bill of lading with a statement for the
extent of the damage. (2) If damage is found after unpacking, retain all
packing material and immediately request that the carrier arrange for
inspection. (3) Any claims of damaged merchandise are between you
and the carrier.
9.
MISCELLANEOUS - PLEASE READ
SHIPPING & DELIVERY: Adamson Industries shall arrange for
transportation, at your expense, to the address designated by you.
Shipping date and delivery dates are estimates, and may be delayed
by (1) late receipt of all necessary information by Adamson Industries,
(2) prior scheduling if shipping and/or delivery dates are conrmed by
you at the time your order is received by Adamson Industries, (3) other
causes beyond Adamson Industries reasonable control. In any such
event, Adamson Industries shall not be liable to you for any loss of time,
material, or production, or any other loss resulting from late delivery of
goods.
EX
CLUSION OF LIABILITY FOR DAMAGES: In no event shall Adamson
Industries be liable to you under any cause or claim of any nature
whatsoever, regardless of whether characterized as a tort, negligence,
contract, warranty, or otherwise, for any loss of prots or other economic
loss, including, but not limited to such losses as (1) wages paid to your
employees, (2) lost revenue, (3) lost use of equipment, (4) purchase
lease, or acquisition of replacement, substitute, or temporary equipment,
facilities of services, (5) cost of capital, (6) costs or losses related to
downtime, (7) manual labor cost, (8) or any other indirect, incidental,
special, consequential, or other similar damages arising out of any claim
relating to purchase of goods and/or services from Adamson Industries,
including losses resulting from general or particular requirements and
needs of buyer, whether or not Adamson Industries, at the time of
contracting, had reason to know of such requirements or needs, and
whether or not such losses could have been reasonable and prevented
by you by cover or otherwise. Adamson Industries’ liability to you shall in
no event exceed the purchase prices of the items giving rise to Adamson
Industries’ liability to you.
C
HOICE OF LAW AND FORUM SELECTION: All dealings between Adamson
Industries and you shall be governed by the laws of Massachusetts. Any
legal or equitable action of whatever nature against Adamson Industries
arising out of or related in any respect to this agreement or any purchase
order, or arising out of any dealings between Adamson Industries and
you shall solely be brought in the appropriate court of the State of
Massachusetts located in the jurisdiction where Adamson Industries
has its principal place of business.
