governmental agency or institution, shall
enter into such MOU as soon as possible
after the execution of the Contract and
failure to enter into or to perform in
accordance with such MOU shall be deemed
to be a failure to perform in accordance with
the Contract, for which the County may
withhold payment, terminate the Contract or
exercise such other remedies as may be
appropriate in the circumstances.
