11.4.GOVERNINGLAW.ThisAgreementshallbesub-
jecttoandconstruedinaccordancewithNewZealand
lawanddisputesbetweenthepartiesconcerningthepro-
visionshereofshallbedeterminedbytheNewZealand
CourtsofLaw.ProvidedhoweverTaitmayatitselec-
tionbringproceedingsforbreachofthetermshereofor
fortheenforcementofanyjudgmentinrelationtoa
breachofthetermshereofinanyjurisdictionTaitcon-
sidersfitforthepurposeofensuringcompliancewiththe
termshereoforobtainingreliefforbreachoftheterms
hereof.
11.5.THIRD-PARTYBENEFICIARIES.ThisAgree-
mentisenteredintosolelyforthebenefitofTaitand
Licensee.Nothirdpartyhastherighttomakeanyclaim
orassertanyrightunderthisAgreement,andnothird
partyisdeemedabeneficiaryofthisAgreement.Not-
withstandingtheforegoing,anylicensororsupplierof
third-partysoftwareincludedintheSoftwarewillbeadir-
ectandintendedthird-partybeneficiaryofthisAgree-
ment.
11.6.SURVIVAL.Sections4,5,6.3,7,8,9,10,and11
survivetheterminationofthisAgreement.
11.7.ORDEROFPRECEDENCE.Intheeventof
inconsistenciesbetweenthisAgreementandanyother
Agreementbetweentheparties,thepartiesagreethat,
withrespecttothespecificsubjectmatterofthisAgree-
ment,thisAgreementprevails.
11.8SECURITY.Taitusesreasonablemeansinthe
designandwritingofitsownSoftwareandtheacquis-
itionofthird-partySoftwareinordertolimitSecurityVul-
nerabilities.Whilenosoftwarecanbeguaranteedtobe
freefromSecurityVulnerabilities,ifaSecurityVul-
nerabilityisdiscovered,Taitwilltakethestepsspe-
cifiedinSection6ofthisAgreement.
11.9EXPORT.Licenseewillnottransfer,directlyor
indirectly,anyDesignatedProduct,Documentationor
Softwarefurnishedhereunderorthedirectproductof
suchDocumentationorSoftwaretoanycountryfor
whichNewZealandoranyotherapplicablecountry
requiresanexportlicenseorothergovernmental
approvalwithoutfirstobtainingsuchlicenseorapproval.
11.10SEVERABILITY.Intheeventthatanypartor
partsofthisAgreementshallbeheldillegalornulland
voidbyanycourtoradministrativebodyofcompetent
jurisdiction,suchdeterminationshallnotaffectthe
remainingtermswhichshallremaininfullforceand
effectasifsuchpartorpartsheldtobeillegalorvoid
hadnotbeenincludedinthisAgreement.Taitmay
replacetheinvalidorunenforceableprovisionwitha
validandenforceableprovisionthatachievestheori-
ginalintentandeconomiceffectofthisAgreement.
11.11CONSUMERGUARANTEES.Licenseeacknow-
ledgesthatthelicensessuppliedintermsofthisagree-
mentaresuppliedtoLicenseeinbusiness,andthatthe
guaranteesandotherprovisionsofprevailingconsumer
protectionlegislationshallnotapply.
11.12WHOLEAGREEMENT.Licenseeacknowledges
thatithasreadthisAgreement,understandsitand
agreestobeboundbyitstermsandconditions.
Licenseealsoagreesthat,subjectonlytotheexpress
termsofanyotheragreementbetweenTaitand
Licenseetothecontrary,thisisthecompleteandexclus-
ivestatementoftheAgreementbetweenitandTaitin
relationtotheSoftware.ThisAgreementsupersedes
anyproposalorprioragreement,oralorwritten,andany
othercommunicationsbetweenLicenseeandTaitrelat-
ingtotheSoftwareandtheDesignatedProducts.
