MINIMUMORDERS

BANKRUPTCYANDINSOLVENCY
IntheeventthatthePurchaserdefaultsorcommitsabreachofanyofhis

alimitedcompanyandanyresolutionorpetitiontowindupsuchcompany’sbusinessshallbepassedorpresented
otherwisethanthroughreconstructionoramalgamationorifaReceiverorLiquidatorofsuchcompany’sundertakingproperty
orassetsoranypartthereofshallbeappointed,then(a)theReceiver
ortheLiquidatorwillnotifytheCompanyforthwithasto
thewhereaboutsof
theGoodsandwillpermittheCompanytorecovertheG o o d sinaccordancewiththeseTerms,(b)the
Companyshallhavetherightforthwithtosuspend
allfurtherdeliveries,orattheCompany’soption,tomakepartialdeliveries,
(c)
theCompanymayterminateanyOrderthensubsistingand,uponwrittennoticeofsuchterminationbeingpostedbythe
CompanytothePurchaser’slastknownaddress,anysubsistingOrdershallbedeemedtohavebeenterminatedwithout
prejudicetoanyclaimorrighttheCompanymightotherwisemakeorexercise.
RETURNEDGOODS
GoodsmaynotbereturnedtotheComp a n yforrepairor
replacementunderwarranty,forrepairorrejection,orforanyother
reason,withouttheCompany’sconsentandtheissuanceofaReturnMaterialAuthorisation("RMA")number.NoGoodsmay
bereturnedtotheCompa n yforrejection
beyond30daysafterinvoicedate.AllGood sreturnedwiththeCompany’sconsent
mustbeprepaid,insured,andproperlypackedandtheRMAnumbermustbereferencedonallcorrespondenceandmustbe
visibleontheexteriorofthepackingcartonorboxoftheGoodsbeingreturned.ThePurchasermaynotreturnGoodssupplied
whicharenotstandardcatalogueitems.SeeSpecialOrder.TheCompanyreservestherighttomakeaminimumadditional
chargeof25%ofthenetinvoicevalueor€50,whicheverisgreater,onallthoseGoodsproperlysuppliedwhichhavebeen
returnedtotheCompany,tocoverthecostofchecking,refurbishingasrequiredandrestockingorreͲdeliveringthereturned
Goods.
CLAIMS
AnyclaimsfordamagetoGoodsintransit,orshortdeliverymustbemadein
writingtotheCompanyandthecarrierwithin
three(3)daysofdelivery.Thepackingandcontentsshouldberetainedforinspection.IfGoodsarenotreceivedbythe
Purchaserwithinseven(7)daysoftheinvoicedate,theCompanyandthecarriershouldbenotifiedimmediately.
CANCELLATION
OrdersacceptedbytheCompanymaybecancelledbythePurchaserattheCompany’sdiscretionandshallbesubjectto
paymentbythePurchaserofacancellationcharge.
VALUEADDEDTAX
Wherechargeable,valueaddedtaxwillbechargedattherateapplicableat
thedateofdispatch.
GERMANLAW
TheseTermsshallbe governedbyGermanLaw.
CARRIAGE
TheCompanyreservestherighttomakeachargeforcarriage,insuranceand
packingonallOrdersandallshipmentsfromall
VICONdistributionoutlets.
DELAY
TheCompanyshallnotbeliableforanydelayorfailuretoperformanyofits
obligationshereunderifthatdelayorfailureisdue
tocausesoutsidethereasonablecontroloftheCompany.However,noneglect,delayorindulgenceonthepartofthe
CompanyinenforcingtheprovisionsoftheseTerms,shallprejudicetherightsoftheCompanyorbeconstruedasawaiver
thereofnorshallanyprovisionsoftheseconditionsbecapableofvariationexceptinwritingsignedbyanauthorisedsignatory
oftheCompany.
DESCRIPTIONANDCOPYRIGHT
Alldescriptions,specifications,drawingsandotherparticularsissuedbythe
Companyareintendedtopresentageneral
descriptionoftheGoodstowhichtheyreferandshallnotbedeemedtohaveinducedthePurchasertoenter,norshallform
partof,thecontract.Alldescriptions,specifications,drawingsandotherinformationissuedbytheCompanyshallremainthe
propertyoftheCompanytogetherwiththecopyrighttherein.


